Partner Agreement

1. Introduction

1.1 This agreement is made between 22CIRCLE COMPANY LIMITED (“Company”) and the Automobile Service Center/Garage registered with the 22circle platform via the 22connect application (“Garage”) to define the terms and obligations for providing tire installation and related services through the said platform.

2. Scope of Services

2.1 The Garage agrees to provide tire installation, wheel balancing, and any other related services as specified on the Company’s platform.

2.2 The Garage agrees to provide high-quality service and adhere to service principles that promote customer satisfaction.

3. Duties of the Garage

3.1 The Garage agrees to commence installation at the time appointed in the system when the customer arrives for service.

3.2 The Garage agrees to follow the processes defined by the Company’s platform, which include:

  • Confirming the receipt of tires in the system.
  • Updating the status during installation.
  • Confirming the completion of installation or service.
  • Updating the information of the responsible staff.

3.3 The Garage has a duty to provide services professionally and in accordance with relevant safety standards.

4. Payment Terms

4.1 The Garage can proceed with a withdrawal once the installation service is complete, updated in the system, and confirmed by the customer.

4.2 The Company will transfer funds to the Garage’s registered account within 1–3 business days after receiving the withdrawal request (The Company reserves the right for delays due to bank processing).

5. Liability and Warranty

5.1 If tires are damaged due to installation, the Garage agrees to be responsible by providing new tires of the same specification to the customer at no cost.

5.2 If tires have issues under the manufacturer’s warranty conditions, the Garage agrees to provide the installation service for the new tires at the original service rate, for which the Company will be responsible for the additional cost.

5.3 Manufacturer tire warranty terms are between the customer and the manufacturer; the Company is not involved or responsible.

6. Responsibility for Goods After Delivery

6.1 If tires are lost, stolen, or damaged after tires are received from the delivery person or confirming receipt in the system, the Garage agrees to provide replacement tires. If unable to do so, the Garage agrees to compensate the Company in an amount equal to 10 times the value of the tires purchased by the Company from the seller.

7. Legal Compliance and Training

7.1 The Garage agrees to comply with all relevant laws, regulations, and rules in the jurisdiction where services are provided.

7.2 The Garage agrees to participate in training sessions specified by the Company to ensure correct usage of the platform system.

8. Termination of Agreement

8.1 Both parties may terminate this agreement if the other party breaches the terms or fails to meet the specified service standards.

8.2 In the event that the Garage intends to cease operations, go out of business, or stop providing services through the Company, the Garage must provide a notice to the Company at least 30 days in advance to ensure all pending customer services and financial settlements are resolved.

8.3 The Company reserves the right to terminate the Garage’s access to the platform immediately if it is discovered that the Garage has ceased its business operations without prior notification.

9. Confidentiality

9.1 Both parties agree not to disclose business information or customer personal data to third parties without consent.

10. Dispute Resolution

10.1 Any dispute arising from this agreement shall first be attempted to be resolved through negotiation. If an agreement cannot be reached, the dispute shall be settled by arbitration as mutually agreed upon.

11. Amendments to the Agreement

11.1 The Company reserves the right to amend this agreement, which shall be binding immediately upon publication on the platform. Continued use of the platform constitutes acceptance of such changes.

User Data Consent Agreement

To ensure cooperation is in accordance with the Personal Data Protection Act B.E. 2562 (PDPA), you, as the Garage owner, please read and mark your consent as follows:

1. Consent for Collection, Storage, Use, and Disclosure of Personal Data

1.1 For Service and Operational Purposes (Required): I consent to 22circle platform collecting, storing, using, disclosing, and/or sending copies of my personal data records—including name, contact details with address, vehicle information, purchase history, service satisfaction, and transaction details—to 22circle platform and the garage network for the purpose of facilitating services, improving user experience, providing personalized recommendations, and for internal record-keeping.

1.2 For Marketing and Promotional Purposes (Optional): I consent to 22circle platform using my personal data—including name, contact details, vehicle information, and purchase history—for marketing, advertising, special offers, newsletters, and satisfaction surveys by 22circle platform and its business partners. I understand this may include communication via various channels such as email, SMS, or telephone.

2. Rights of the Data Subject

You have the following rights under the PDPA:

  • Right to Withdraw Consent: You can withdraw consent at any time without affecting the lawfulness of processing based on consent before its withdrawal.
  • Right to Access and Request a Copy: Request access to or obtain a copy of your personal data.
  • Right to Rectification: Request to have your data corrected, updated, and completed.
  • Right to Erasure: Request to delete or destroy data when it is no longer necessary.
  • Right to Object: Object to the processing of data for marketing purposes.
  • Right to Restrict Processing or Data Portability: Request to limit processing or transfer data to another data controller.

3. Security Standards and Legal Compliance

We use appropriate technical and organizational security measures to protect your data from unauthorized access, disclosure, modification, and destruction, strictly complying with the Personal Data Protection Act (PDPA), and requiring partners (Garages) as data processors to maintain equivalent security standards.

4. Data Retention

We will retain your personal data for as long as necessary to achieve the stated purposes or as required by law. After such a period, we will delete the data or render it non-identifiable.

5. Changes to the Agreement

The Company may update this agreement to reflect changes in the law or service models, notifying you via the platform. Continued use constitutes acceptance of the changes.
